THIS SOFTWARE DEVELOPMENT AND LICENSING AGREEMENT (the 'Agreement') is made and entered into as of [Date], by and between:

[DEVELOPER COMPANY NAME], a corporation organized and existing under the laws of [Developer Jurisdiction], with its principal place of business at [Developer Address] ('Developer'); and

[CLIENT COMPANY NAME], a corporation organized and existing under the laws of [Client Jurisdiction], with its principal place of business at [Client Address] ('Client').

WHEREAS, Client desires to engage Developer to develop certain custom software as more fully described herein; and

WHEREAS, Developer possesses the necessary expertise and resources to perform such development and is willing to license the developed software to Client under the terms and conditions set forth in this Agreement.

    ARTICLE 2. SOFTWARE DEVELOPMENT

2.1 DEVELOPMENT SERVICES. Developer shall develop the Software in accordance with the SOW and the Acceptance Criteria. Developer shall use its best efforts to complete the development services within the timelines specified in the SOW.

2.2 CLIENT COOPERATION. Client shall provide Developer with all necessary information, access to systems, personnel, and timely feedback as reasonably required by Developer to perform its obligations hereunder. Any delay caused by Client's failure to cooperate may result in an adjustment to the project schedule and fees.

2.3 MILESTONES AND DELIVERABLES. Developer shall deliver the Software and other Deliverables according to the milestones and delivery schedule outlined in the SOW.

2.4 ACCEPTANCE. Upon delivery of each milestone or the final Software, Client shall have [Number] business days to review and test the Deliverables against the Acceptance Criteria. If Client determines that the Deliverables meet the Acceptance Criteria, Client shall provide written acceptance. If Client identifies any material non-conformance, Client shall provide Developer with a detailed written description of such non-conformance. Developer shall use commercially reasonable efforts to correct such non-conformance within a mutually agreed timeframe, and the acceptance process shall be repeated.

    ARTICLE 3. LICENSE GRANT

3.1 LICENSE. Subject to Client's full payment of all fees due hereunder, Developer hereby grants to Client a non-exclusive, perpetual, worldwide, transferable, sublicensable license to use, reproduce, modify, prepare derivative works of, and distribute (internally) the Software for Client's internal business purposes.

3.3 THIRD-PARTY COMPONENTS. The Software may incorporate certain third-party software components. Developer shall identify such components in the SOW and disclose their respective licenses. Client's use of such components shall be subject to the terms of those third-party licenses.

    ARTICLE 4. INTELLECTUAL PROPERTY

4.1 OWNERSHIP OF SOFTWARE. All Intellectual Property Rights in and to the Software and Deliverables (excluding any pre-existing Developer intellectual property incorporated therein) shall be owned by Client upon full payment of all fees due hereunder. Developer hereby assigns to Client all right, title, and interest in and to such Intellectual Property Rights.

4.2 DEVELOPER'S PRE-EXISTING IP. Developer retains all Intellectual Property Rights in and to any pre-existing software, tools, methodologies, or other intellectual property used by Developer in the development of the Software ('Developer Pre-Existing IP'). To the extent any Developer Pre-Existing IP is incorporated into the Software, Developer grants Client a perpetual, non-exclusive, worldwide, royalty-free license to use, reproduce, and distribute such Developer Pre-Existing IP solely as part of the Software.

5.3 EXPENSES. Client shall reimburse Developer for all pre-approved, reasonable, and necessary out-of-pocket expenses incurred by Developer in the performance of the services, provided such expenses are documented and approved by Client in advance.

5.4 TAXES. All fees are exclusive of applicable taxes. Client shall be responsible for all sales, use, excise, and other taxes imposed on the services and deliverables, excluding taxes based on Developer's net income.

    ARTICLE 6. CONFIDENTIALITY

6.1 OBLIGATION OF CONFIDENTIALITY. Each party agrees to maintain the confidentiality of the other party's Confidential Information and not to disclose such Confidential Information to any third party or use it for any purpose other than as necessary to perform its obligations or exercise its rights under this Agreement.

    6.2 EXCEPTIONS.
