Terms of Service
Last updated: March 9, 2026
These Terms of Service ("Terms") govern your access to and use of the Signhoot platform, websites, mobile applications, and services (the "Services"), and any information, text, graphics, or other materials uploaded, downloaded, or appearing on the Services (collectively referred to as "Content"). These Terms apply to all visitors, users, and others who access the Services.
1. Acceptance of Terms
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to all the terms and conditions of this agreement, you may not access or use our Services.
2. Changes to Terms or Services
We reserve the right to modify or replace these Terms at any time. We will provide notice of any changes by posting the new Terms on our platform and updating the "Last updated" date. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.
We may also, in the future, offer new services and/or features through the Services. Such new features and/or services shall be subject to the terms and conditions of these Terms.
3. Account Registration and Security
To use certain features of our Services, you must register for an account. You may use a username or nickname — providing your real name is not required. You must provide accurate and current information during the registration process and keep your account information up-to-date.
You are responsible for safeguarding your account credentials and for any activity that occurs under your account. You agree to notify Signhoot immediately of any unauthorized use of your account or any other breach of security. Signhoot will not be liable for any losses caused by any unauthorized use of your account.
4. User Content
Our Services allow you to upload, store, send, receive, share, and modify Content. You retain ownership of any intellectual property rights that you hold in that Content. When you upload, store, send, receive, share, or modify Content through our Services, you give Signhoot a worldwide license to use, host, store, reproduce, modify, create derivative works, communicate, publish, publicly perform, publicly display, and distribute such Content solely for the purpose of providing and improving the Services.
You represent and warrant that:
- You own or have the necessary rights to use and authorize Signhoot to use all intellectual property rights in and to any Content that you submit.
- The posting and use of your Content on or through the Services does not violate the privacy rights, publicity rights, copyrights, contract rights, intellectual property rights, or any other rights of any person or entity.
5. Prohibited Uses
You agree not to use the Services:
- In any way that violates any applicable federal, state, local, or international law or regulation.
- To transmit or upload any material that contains viruses, trojan horses, worms, or any other harmful or destructive code.
- To impersonate or attempt to impersonate Signhoot, a Signhoot employee, another user, or any other person or entity.
- To engage in any activity that interferes with or disrupts the Services or servers or networks connected to the Services.
- To attempt to gain unauthorized access to any portion of the Services or any other accounts, computer systems, or networks connected to the Services.
- To harass, abuse, or harm another person, or to contact, advertise to, solicit, or sell to any user without their prior explicit consent.
6. Electronic Signatures
Signhoot facilitates electronic signatures. By using our electronic signature features, you acknowledge and agree that:
- Your electronic signature constitutes your legal signature.
- You intend to be legally bound by the terms of the documents you sign electronically through the Services.
- Electronic signatures created through the Services are valid and enforceable under applicable laws, including the Electronic Signatures in Global and National Commerce Act (ESIGN) and the Uniform Electronic Transactions Act (UETA).
- You are responsible for maintaining the confidentiality of your electronic signature.
- You will only sign documents on your own behalf or on behalf of an entity if you have appropriate authority to do so.
7. Payments, Subscriptions, and In-App Purchases
Some of our Services are offered on a subscription basis. By subscribing to our Services, you agree to the following terms:
- You will be charged in accordance with your selected billing cycle (monthly, annually, or as otherwise specified).
- Subscription fees are non-refundable except as expressly provided in these Terms or as required by applicable law.
- Your subscription will automatically renew at the end of your billing cycle unless you cancel it prior to the renewal date.
- You may cancel your subscription at any time. Cancellation will be effective at the end of your current billing cycle.
- We reserve the right to change our subscription fees upon reasonable notice. Any price changes will apply to the next billing cycle after the notice period.
7.1. Apple App Store Subscriptions
If you subscribe through the Apple App Store, the following additional terms apply:
- Payment will be charged to your Apple ID account at confirmation of purchase.
- Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current billing period.
- Your account will be charged for renewal within 24 hours prior to the end of the current period at the rate of your selected plan.
- You can manage and cancel your subscriptions by going to your Apple ID Account Settings after purchase.
- Any unused portion of a free trial period, if offered, will be forfeited when you purchase a subscription.
- Refunds for App Store purchases are handled by Apple. To request a refund, visit reportaproblem.apple.com.
7.2. Restoring Purchases
If you reinstall the app or switch devices, you can restore your previous purchases by using the "Restore Purchases" button in Dashboard → Billing. This will re-validate your subscription status with the App Store and restore your premium access.
8. Account Deletion
You may delete your account at any time through Dashboard → Settings → Danger Zone → Delete Account. Account deletion is permanent and irreversible. Upon deletion:
- All your documents, signatures, templates, and usage history will be permanently removed.
- Any active signing requests you have sent will be cancelled.
- Your profile and authentication credentials will be deleted.
- If you have an active subscription purchased through the Apple App Store, you must separately cancel it through your Apple ID settings. Deleting your Signhoot account does not automatically cancel App Store subscriptions, and you may continue to be charged by Apple until you cancel.
- If you have an active subscription purchased through our website (Stripe), it will be cancelled upon account deletion.
9. Termination
We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.
Upon termination, your right to use the Services will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
10. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
SIGNHOOT DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
11. Limitation of Liability
IN NO EVENT SHALL SIGNHOOT, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER RESULTING FROM ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT, (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF OUR SERVICES, (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN, (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM OUR SERVICES, (V) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE, WHICH MAY BE TRANSMITTED TO OR THROUGH OUR SERVICES BY ANY THIRD PARTY, AND/OR (VI) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF YOUR USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT THE COMPANY IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
THE FOREGOING LIMITATION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION.
12. Indemnification
You agree to defend, indemnify and hold harmless Signhoot, its parent corporation, officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Services; (ii) your violation of any term of these Terms; (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your Content caused damage to a third party.

Any dispute arising from or relating to the subject matter of these Terms shall be finally settled by arbitration in Nashua, New Hampshire, using the English language in accordance with the Arbitration Rules and Procedures of the Judicial Arbitration and Mediation Services, Inc. ("JAMS") then in effect, by one commercial arbitrator with substantial experience in resolving intellectual property and commercial contract disputes.

- Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the Services.
- In the event of any failure of the Services to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the application. Apple has no other warranty obligation with respect to the Services.

16. Severability
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.
