2.3. RESTRICTED ACCESS: Receiving Party shall limit access to Confidential Information to those of its employees, contractors, and agents who have a need to know such information for the Permitted Purpose and who are bound by confidentiality obligations no less stringent than those contained herein.

2.4. Accordingly, Disclosing Party shall be entitled to seek injunctive relief, in addition to any other remedies available at law or in equity, to prevent any actual or threatened breach of this Agreement.

    ARTICLE VII - GENERAL PROVISIONS

7.3. AMENDMENTS: No amendment, modification, or waiver of any provision of this Agreement shall be effective unless in writing and signed by authorized representatives of both Parties.

7.4. SEVERABILITY: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

7.5. ASSIGNMENT: Neither Party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other Party.
