    This AGREEMENT (the 'Agreement') is made effective as of [Effective Date], by and between [Company Name], a [State of Incorporation] corporation with its principal place of business at [Company Address] ('Company'), and [Employee/Contractor Name], an individual residing at [Employee/Contractor Address] ('Recipient').

    WHEREAS, Company is engaged in the business of [Company Business Description] and possesses valuable proprietary information and intellectual property;

    WHEREAS, Recipient is being employed by or engaged as an independent contractor for Company in a position where Recipient will have access to and contribute to Company's proprietary information and intellectual property;

    NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

    1. PROPRIETARY INFORMATION

       1.1. DEFINITION OF PROPRIETARY INFORMATION

          'Proprietary Information' means any and all information, whether written or oral, tangible or intangible, disclosed by Company to Recipient, or to which Recipient gains access, directly or indirectly, through or in the course of Recipient's engagement with Company. Proprietary Information includes, but is not limited to, trade secrets, confidential business information, technical data, know-how, formulas, processes, algorithms, designs, specifications, drawings, schematics, inventions, discoveries, improvements, ideas, concepts, research, development plans, product plans, marketing plans, financial data, customer lists, pricing strategies, employee information, and any other information that Company designates as confidential or that, by its nature, would reasonably be understood to be confidential.

       1.2. CONFIDENTIALITY OBLIGATIONS

          Recipient acknowledges and agrees that all Proprietary Information is and shall remain the sole and exclusive property of Company. Recipient shall hold all Proprietary Information in strict confidence and shall not, directly or indirectly, use, disclose, publish, or disseminate any Proprietary Information without the prior written consent of Company. Recipient shall use at least the same degree of care to protect the confidentiality of Proprietary Information as Recipient uses to protect Recipient's own confidential information of a similar nature, but in no event less than reasonable care.

       1.3. EXCEPTIONS TO CONFIDENTIALITY

          The obligations of confidentiality set forth in Section 1.2 shall not apply to information that:

          (a) is or becomes publicly available through no fault of Recipient;

          (b) was rightfully in Recipient's possession prior to disclosure by Company, as evidenced by written records;

          (c) is independently developed by Recipient without use of or reference to Proprietary Information, as evidenced by written records;

          (d) is rightfully obtained by Recipient from a third party without restriction on disclosure and without breach of this Agreement;

          (e) is required to be disclosed by law, court order, or governmental regulation, provided that Recipient gives Company prompt written notice of such requirement and cooperates with Company in any effort to obtain a protective order or other appropriate remedy.

       1.4. RETURN OF PROPRIETARY INFORMATION

          Upon termination of Recipient's engagement with Company for any reason, or at any time upon Company's written request, Recipient shall immediately return to Company all Proprietary Information, including all copies, reproductions, and derivative works thereof, in Recipient's possession, custody, or control. Recipient shall also delete all electronic copies of Proprietary Information from Recipient's devices and systems.

    2. ASSIGNMENT OF INVENTIONS

       2.1. DEFINITION OF INVENTIONS

          'Inventions' means any and all inventions, discoveries, improvements, processes, designs, developments, original works of authorship, formulas, ideas, concepts, and other intellectual property, whether patentable or not, whether copyrightable or not, whether registered or not, made, conceived, reduced to practice, or developed by Recipient, either alone or with others, during the term of Recipient's engagement with Company and within the scope of Recipient's duties or relating to Company's business, products, or research and development.

       2.2. ASSIGNMENT OF INVENTIONS

          Recipient hereby irrevocably assigns, transfers, and conveys to Company, and agrees to assign, transfer, and convey to Company, Recipient's entire right, title, and interest in and to all Inventions. This assignment includes all intellectual property rights therein, including but not limited to, patents, copyrights, trademarks, trade secrets, and other proprietary rights, throughout the world.

       2.3. DISCLOSURE OF INVENTIONS

          Recipient shall promptly and fully disclose to Company, in writing, all Inventions made, conceived, reduced to practice, or developed by Recipient during the term of Recipient's engagement with Company.

       2.4. FURTHER ASSURANCES

          Recipient agrees to execute all documents and take all actions reasonably requested by Company, both during and after Recipient's engagement with Company, to perfect Company's ownership of Inventions and to assist Company in obtaining, maintaining, enforcing, and defending intellectual property rights in Inventions in all countries. Such actions may include, without limitation, executing patent applications, copyright registrations, and assignments.

       2.5. PRIOR INVENTIONS

          Recipient has attached hereto as EXHIBIT A a complete list of all inventions, improvements, discoveries, original works of authorship, developments, concepts, and ideas (collectively, 'Prior Inventions') that were made, conceived, reduced to practice, or developed by Recipient prior to Recipient's engagement with Company, that belong to Recipient, and that are not assigned to Company hereunder. If no such list is attached, Recipient represents that there are no such Prior Inventions.

    3. NON-SOLICITATION AND NON-COMPETITION

       3.1. NON-SOLICITATION OF EMPLOYEES

          During Recipient's engagement with Company and for a period of [Number] months following the termination of Recipient's engagement for any reason, Recipient shall not, directly or indirectly, solicit, induce, or attempt to solicit or induce any employee, contractor, or consultant of Company to terminate their employment or engagement with Company or to become employed or engaged by any other entity.

       3.2. NON-SOLICITATION OF CUSTOMERS

          During Recipient's engagement with Company and for a period of [Number] months following the termination of Recipient's engagement for any reason, Recipient shall not, directly or indirectly, solicit or attempt to solicit any customer or prospective customer of Company with whom Recipient had contact or about whom Recipient gained Proprietary Information during Recipient's engagement, for the purpose of providing products or services competitive with those offered by Company.

       3.3. NON-COMPETITION

          During Recipient's engagement with Company and for a period of [Number] months following the termination of Recipient's engagement for any reason, Recipient shall not, directly or indirectly, engage in, be employed by, consult for, or have any ownership interest in any business that directly competes with Company's business in [Geographic Area]. This non-competition clause is limited to the scope of Company's business activities that Recipient was directly involved with or had access to Proprietary Information concerning.

    4. REPRESENTATIONS AND WARRANTIES

       Recipient represents and warrants to Company that:

       (a) Recipient is free to enter into this Agreement and to perform all of Recipient's obligations hereunder without violating the terms of any other agreement to which Recipient is a party;

       (b) Recipient has not entered into, and will not enter into, any agreement that is in conflict with this Agreement;

       (c) Recipient has not brought and will not bring to Company, or use in the performance of Recipient's duties for Company, any confidential or proprietary information of a former employer or other third party.

    5. REMEDIES

       Recipient acknowledges that any breach of this Agreement, particularly with respect to Sections 1, 2, and 3, would cause irreparable harm to Company for which monetary damages would not be an adequate remedy. Accordingly, Recipient agrees that Company shall be entitled to seek injunctive relief, in addition to any other remedies available at law or in equity, to prevent or remedy any such breach.

    6. GENERAL PROVISIONS

       6.1. GOVERNING LAW

          This Agreement shall be governed by and construed in accordance with the laws of the State of [Governing State], without regard to its conflict of laws principles.

       6.2. JURISDICTION AND VENUE

          The parties agree that any action or proceeding arising out of or relating to this Agreement shall be brought exclusively in the state or federal courts located in [Governing County], [Governing State].

       6.3. ENTIRE AGREEMENT

          This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written, between the parties.

       6.4. AMENDMENT

          This Agreement may not be amended or modified except by a written instrument signed by both parties.

       6.5. SEVERABILITY

          If any provision of this Agreement is held to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not in any way be affected or impaired thereby.

       6.6. WAIVER

          The failure of either party to enforce any provision of this Agreement shall not be construed as a waiver of such provision or of the right to enforce such provision at a later time.

       6.7. ASSIGNMENT

          Recipient may not assign Recipient's rights or delegate Recipient's obligations under this Agreement without the prior written consent of Company. Company may assign this Agreement in its sole discretion.

       6.8. NOTICES

          All notices and other communications hereunder shall be in writing and shall be deemed to have been duly given when delivered personally, sent by certified or registered mail, return receipt requested, or sent by reputable overnight courier service, to the addresses set forth above or to such other address as either party may designate by notice to the other party.
