    AGREEMENT

    NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties hereto agree as follows:

    1. DEFINITION OF CONFIDENTIAL INFORMATION

      1.1. For purposes of this Agreement, "Confidential Information" shall include, but is not limited to, any and all technical, scientific, commercial, financial, marketing, operational, strategic, and intellectual property information, whether oral, written, electronic, or in any other form, that is disclosed by Disclosing Party to Receiving Party, or that Receiving Party otherwise learns or acquires from Disclosing Party in connection with the Permitted Purpose. This includes, without limitation, source code, object code, algorithms, hardware designs, software architecture, schematics, designs, data, know-how, processes, formulae, inventions (whether patentable or not), research and development projects, product specifications, customer lists, pricing strategies, business plans, financial projections, personnel information, and any other information designated as confidential by Disclosing Party, or that, by its nature, would reasonably be understood by a reasonable person to be confidential.

      1.2. Confidential Information shall not include information that:
        (a) Is or becomes publicly available through no fault of the Receiving Party;
        (b) Is rightfully known to the Receiving Party at the time of disclosure without an obligation of confidentiality;
        (c) Is independently developed by the Receiving Party without use of or reference to the Disclosing Party's Confidential Information;
        (d) Is rightfully obtained by the Receiving Party from a third party without restriction on disclosure.

    2. OBLIGATIONS OF RECEIVING PARTY

      2.1. Non-Disclosure. Receiving Party agrees to keep the Confidential Information strictly confidential and shall not, without the prior written consent of Disclosing Party, disclose, disseminate, or otherwise make available any Confidential Information to any third party.

      2.2. Limited Use. Receiving Party agrees to use the Confidential Information solely for the Permitted Purpose and for no other purpose whatsoever.

      2.3. Protection. Receiving Party shall take all reasonable measures to protect the secrecy of and avoid disclosure or unauthorized use of the Confidential Information, which measures shall be at least as stringent as those Receiving Party takes to protect its own similar confidential information, but in no event less than a reasonable standard of care.

      2.4. Permitted Recipients. Receiving Party may disclose the Confidential Information only to its employees, officers, directors, and professional advisors (collectively, "Representatives") who have a legitimate need to know such information for the Permitted Purpose and who are bound by confidentiality obligations at least as restrictive as those contained in this Agreement. Receiving Party shall be responsible for any breach of this Agreement by its Representatives.

      2.5. Notification of Unauthorized Disclosure. Receiving Party shall immediately notify Disclosing Party in writing upon discovery of any unauthorized use or disclosure of Confidential Information, or any other breach of this Agreement.

    3. RETURN OF CONFIDENTIAL INFORMATION

      3.1. Upon the written request of Disclosing Party, or upon the termination or expiration of this Agreement, Receiving Party shall immediately return to Disclosing Party all original and copies of any Confidential Information, including all notes, reports, and other documents prepared by Receiving Party that incorporate or refer to the Confidential Information. Alternatively, Disclosing Party may, at its sole discretion, request Receiving Party to destroy all such Confidential Information and provide written certification of such destruction.

      3.2. Notwithstanding the foregoing, Receiving Party may retain one (1) copy of the Confidential Information for archival purposes, subject to the continuing confidentiality obligations of this Agreement.

    4. NO LICENSE OR WARRANTY

      4.1. This Agreement does not grant any right, title, interest, or license, express or implied, in or to any trademarks, patents, copyrights, trade secrets, or any other intellectual property rights of Disclosing Party to Receiving Party.

      4.2. Disclosing Party makes no representations or warranties, express or implied, as to the accuracy, completeness, or performance of the Confidential Information.

    5. TERM AND TERMINATION

      5.1. The obligations of confidentiality hereunder shall remain in effect for a period of [Number] years from the Effective Date, or for as long as the information remains a trade secret under applicable law, whichever is longer, even if the Permitted Purpose is not pursued or is completed earlier.

      5.2. This Agreement may be terminated by either party upon [Number] days' written notice to the other party, provided that the obligations of confidentiality and non-use with respect to Confidential Information already disclosed shall survive such termination.

    6. REMEDIES

      6.1. Receiving Party acknowledges that a breach of this Agreement by Receiving Party will cause irreparable harm to Disclosing Party for which monetary damages would be an inadequate remedy. Therefore, Disclosing Party shall be entitled to seek injunctive relief, in addition to any other remedies available at law or in equity, to prevent any actual or threatened breach of this Agreement.

    7. GOVERNING LAW AND JURISDICTION

      7.1. This Agreement shall be governed by and construed in accordance with the laws of [State/Country of Governing Law], without regard to its conflict of laws principles.

      7.2. The parties agree that any legal action or proceeding arising out of or relating to this Agreement shall be brought exclusively in the federal or state courts located in [City, State/Country of Jurisdiction].

    8. ENTIRE AGREEMENT

      8.1. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written, of the parties.

    9. AMENDMENTS

      9.1. No amendment or modification of this Agreement shall be valid unless made in writing and signed by duly authorized representatives of both parties.

    10. SEVERABILITY

      10.1. If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

    11. COUNTERPARTS

      11.1. This Agreement may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.

    IN WITNESS WHEREOF, the parties have executed this Confidentiality and Non-Disclosure Agreement as of the date first written above.
