NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows:
ARTICLE 1. DEFINITIONS

ARTICLE 2. OBLIGATIONS OF RECEIVING PARTY
2.1. NON-DISCLOSURE: The Receiving Party agrees to hold all Confidential Information in strict confidence and shall not, without the prior written consent of the Disclosing Party, disclose, publish, or disseminate any Confidential Information to any third party.
2.2. LIMITED USE: The Receiving Party shall use the Confidential Information solely for the Permitted Purpose. No other use, reproduction, or dissemination of Confidential Information is permitted.
2.3. RESTRICTED ACCESS: The Receiving Party shall limit access to Confidential Information to its employees, agents, and contractors who have a legitimate need to know such information for the Permitted Purpose and who are bound by confidentiality obligations no less restrictive than those set forth in this Agreement.
2.4. PROTECTION OF INFORMATION: The Receiving Party shall use at least the same degree of care to protect the confidentiality of the Confidential Information as it uses to protect its own proprietary information of a similar nature, but in no event less than a reasonable degree of care.
2.5. COMPELLED DISCLOSURE: If the Receiving Party is compelled by law, court order, or governmental regulation to disclose any Confidential Information, it shall provide prompt written notice to the Disclosing Party prior to such disclosure, if legally permissible, to allow the Disclosing Party to seek a protective order or other appropriate remedy. ARTICLE 5. REMEDIES
5.1. INJUNCTIVE RELIEF: The Receiving Party acknowledges that unauthorized disclosure or use of Confidential Information would cause irreparable harm to the Disclosing Party for which monetary damages alone would not be an adequate remedy. Therefore, the Disclosing Party shall be entitled to seek injunctive relief, in addition to any other remedies available at law or in equity, to prevent any actual or threatened breach of this Agreement.
ARTICLE 6. GENERAL PROVISIONS
6.1. GOVERNING LAW: This Agreement shall be governed by and construed in accordance with the laws of the [Jurisdiction] without regard to its conflict of laws principles.
