    2. OBLIGATIONS OF RECEIVING PARTY

    (a) Non-Disclosure: The Receiving Party shall hold all Confidential Information in strict confidence and shall not disclose, reproduce, or distribute any Confidential Information to any third party without the prior written consent of the Disclosing Party.

    (b) Limited Use: The Receiving Party shall use the Confidential Information solely for the Permitted Purpose and for no other purpose whatsoever.

    (c) Protection: The Receiving Party shall take all reasonable measures to protect the secrecy of and avoid disclosure or unauthorized use of the Confidential Information, at least to the same degree of care it uses to protect its own confidential information of a similar nature, but in no event less than reasonable care.

This Agreement shall commence on the Effective Date and shall continue in full force and effect until [Termination Date or Event, e.g., the earlier of one year from the Effective Date or the completion of the Permitted Purpose], unless terminated earlier as provided herein. The obligations of confidentiality hereunder shall survive the termination of this Agreement for a period of [Number] years.

    6. REMEDIES

The Receiving Party acknowledges that monetary damages alone may not be a sufficient remedy for any breach of this Agreement and that the Disclosing Party shall be entitled to seek injunctive relief, specific performance, or other equitable remedies for any threatened or actual breach.

    7. GOVERNING LAW AND JURISDICTION

This Agreement shall be governed by and construed in accordance with the laws of [State/Country], without regard to its conflict of laws principles.
